Supplementary terms for professionals, tradespeople, dealers, agents, and sellers

1. Application

1.1 These Professional and Seller Terms ("Supplementary Terms") apply to all Users who register as a Professional, tradesperson, dealer, agent, or seller on the SilinTrade platform ("Platform").

1.2 These Supplementary Terms are in addition to, and must be read together with, the SilinTrade Terms of Service ("General Terms"). Where there is a conflict, these Supplementary Terms prevail.

1.3 By registering as a Professional or listing goods for sale, you agree to be bound by these Supplementary Terms.

2. Definitions

Terms defined in the General Terms have the same meaning here. In addition:

  • "Quote" means a price proposal submitted by a Professional in response to a Buyer's job posting.
  • "Listing" means an advertisement for goods, a vehicle, or a property posted by a Professional or seller.
  • "Payout" means the release of escrowed funds to the Professional after confirmation of completed work or delivery.
  • "Subscription Tier" means the Professional's chosen subscription level (Free, Silver, Gold, or Platinum).

3. Registration and account obligations

3.1 You warrant that all information provided during registration is true, accurate, and complete.

3.2 You must keep your profile information up to date, including your trade categories, service areas, and contact details.

3.3 You are responsible for all activity under your account, including quotes submitted, messages sent, and jobs accepted.

3.4 If you operate as a registered business, you must provide your business registration number and may be required to provide proof of registration.

4. Verification

4.1 SilinTrade offers optional identity verification:

  • ID Verification (R99): Review of a valid South African identity document.
  • Business Verification (R199): Review of identity document plus proof of business registration.

4.2 Verification confirms that the submitted documents appear valid at the time of review. It does not constitute:

  • a background check;
  • a reference check;
  • a skills assessment;
  • a guarantee of quality, reliability, or fitness for any purpose;
  • an endorsement by SilinTrade.

4.3 Verified Professionals receive a verification badge on their profile. The badge remains active for the duration of the account.

4.4 SilinTrade may revoke a verification badge at any time if it has reason to believe the documents were fraudulent, the Professional's circumstances have materially changed, or the Professional has breached these Terms.

5. Quoting and accepting jobs

5.1 When you submit a quote, you make a binding offer to perform the work at the quoted price and within the quoted timeframe.

5.2 Once a Buyer accepts your quote and makes payment, a binding agreement is formed between you and the Buyer. SilinTrade is not a party to this agreement.

5.3 You must perform the work to the standard described in your quote, in a professional and workmanlike manner, and in compliance with all applicable laws and regulations.

5.4 If you cannot complete a job after acceptance, you must notify the Buyer and SilinTrade immediately. Repeated cancellations may result in account suspension.

6. Milestones

6.1 Every quote you submit for a job must include at least one milestone: a defined stage of work with a corresponding percentage of the total job amount. A single milestone may cover the whole price.

6.2 Milestones must be agreed by both parties before payment proceeds.

6.3 You must mark each milestone as complete when the work for that stage is finished. The Buyer will then be asked to confirm.

6.4 Funds are released milestone by milestone upon Buyer confirmation (or deemed confirmation after 48 hours without dispute, or 7 days for protected car and property purchases).

7. Payments and payouts

7.1 All protected transaction funds are held in escrow by TradeSafe (Pty) Ltd. SilinTrade does not hold or control these funds.

7.2 Payouts are initiated after the Buyer confirms completion (or after the deemed confirmation period). Payout timing depends on TradeSafe's processing schedule and your selected payout method.

7.3 You are responsible for providing accurate bank account details for payouts. SilinTrade and TradeSafe are not liable for payouts made to incorrect bank details that you provided.

7.4 TradeSafe charges a settlement fee of R5 per transaction. This fee is deducted from the payout amount.

8. Subscriptions

8.1 Subscription tiers and pricing are displayed on the Platform.

8.2 Subscriptions are billed monthly on the 1st of each month via PayFast. The first month is pro-rated from the sign-up date.

8.3 You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refund is given for unused days.

8.4 Credits included in your subscription are awarded at the start of each billing period and do not expire.

8.5 If a subscription payment fails, the Platform will retry. If payment continues to fail, your subscription will be downgraded to the Free tier. Accumulated credits are retained.

9. Credits

9.1 Credits are used for messaging buyers, bidding on jobs, and other platform features.

9.2 Credits may be earned through subscriptions or purchased in bundles.

9.3 Credits do not expire, are non-refundable, and are non-transferable.

10. Listings (goods, vehicles, property)

10.1 Listings must accurately describe the item for sale, including its condition, any defects, and any relevant history.

10.2 You must not list items that are stolen, prohibited, regulated without the required licences, or that infringe any third party's intellectual property rights.

10.3 Listing fees are non-refundable once the listing is published.

10.4 SilinTrade reserves the right to remove any listing that violates these Terms or applicable law.

10.5 For vehicle listings, you warrant that you are the registered owner or an authorised dealer/agent, and that the vehicle is not subject to any undisclosed finance agreement, court order, or other encumbrance.

10.6 For property listings, you warrant that you are the owner, a mandated agent, or an authorised representative, and that the listing complies with the Estate Agency Affairs Act 112 of 1976 where applicable.

11. Professional conduct

11.1 You must:

  • perform all work to a professional standard and in compliance with applicable industry regulations, codes of practice, and building standards;
  • hold any licences, registrations, or certifications required by law for your trade;
  • carry appropriate public liability insurance (recommended but not currently required by the Platform);
  • treat Buyers with respect and professionalism;
  • respond to messages and enquiries in a timely manner.

11.2 You must not:

  • provide false qualifications, experience, or references;
  • accept payment outside the Platform for work sourced through the Platform;
  • subcontract work without the Buyer's prior consent;
  • solicit Buyers to transact outside the Platform to avoid fees;
  • engage in any form of harassment, discrimination, or threatening behaviour.

12. Reviews and ratings

12.1 Buyers may leave reviews and ratings after a transaction is completed.

12.2 You may respond to reviews through the Platform.

12.3 Reviews may not be removed except where they are found to be defamatory, fraudulent, or in violation of the Terms of Service.

12.4 SilinTrade does not guarantee the accuracy of reviews and is not liable for opinions expressed in reviews.

13. Suspension and termination

13.1 SilinTrade may suspend or terminate your account for breach of these Terms, including but not limited to:

  • fraudulent or misleading information;
  • repeated cancellations or non-performance;
  • circumventing Platform payment mechanisms;
  • harassment or threatening behaviour;
  • illegal activity.

13.2 On suspension, pending transactions will be handled in accordance with the dispute resolution provisions in the General Terms.

13.3 On termination, any outstanding payouts for confirmed work will be processed. Unresolved disputes will be handled through the dispute process.

14. Intellectual property

14.1 By uploading content to your profile or listings (photos, descriptions, portfolio items), you grant SilinTrade a non-exclusive, royalty-free licence to display and reproduce that content for the purpose of operating the Platform.

14.2 You retain ownership of your content and may request its removal, subject to data retention requirements.

14.3 You warrant that all content you upload does not infringe any third party's intellectual property rights.

15. Tax obligations

15.1 You are solely responsible for your own tax obligations, including income tax, provisional tax, and VAT (if applicable).

15.2 SilinTrade does not withhold tax on your behalf and does not provide tax advice.

15.3 Transaction records are available in your account dashboard and may be exported for your records.

16. Limitation of liability

16.1 The limitation of liability provisions in the General Terms apply equally to these Supplementary Terms.

16.2 SilinTrade is not liable for any loss or damage arising from your interactions with Buyers, including non-payment disputes after funds have been released from escrow.
