SILINTRADE ADVERTISER TERMS

Supplementary terms for external advertisers

1. Application

1.1 These Advertiser Terms ("Advertiser Terms") apply to any person or entity that purchases advertising space on the SilinTrade platform ("Platform"), operated by Silintithia (Pty) Ltd ("SilinTrade", "we", "us").

1.2 These Advertiser Terms are in addition to, and must be read together with, the SilinTrade Terms of Service ("General Terms"). Where there is a conflict, these Advertiser Terms prevail.

1.3 By purchasing advertising on the Platform, you ("Advertiser") agree to be bound by these Advertiser Terms.

2. Advertising on SilinTrade

2.1 Advertising placements, formats, pricing, and availability are managed through SilinTrade's staff portal and are subject to approval by SilinTrade.

2.2 SilinTrade reserves the right to reject, remove, or require modification of any advertisement at its sole discretion, including where the advertisement:

  • is misleading, false, or deceptive;
  • promotes illegal products or services;
  • contains content that is offensive, defamatory, discriminatory, or harmful;
  • infringes any third party's intellectual property rights;
  • competes directly with the core services offered on the Platform;
  • does not comply with applicable law, including the Consumer Protection Act 68 of 2008, the Advertising Standards Authority Code, and the ECTA.

3. Advertiser obligations

3.1 You warrant that:

  • all advertising content is truthful, accurate, and not misleading;
  • you have all necessary rights, licences, and permissions for the content (including images, trademarks, and copy);
  • the advertisement complies with all applicable laws and regulations, including the CPA and the Advertising Standards Authority Code;
  • you have obtained any necessary consent from individuals whose personal information or likeness appears in the advertisement.

3.2 You are solely responsible for the content of your advertisements. SilinTrade's approval of an advertisement does not constitute an endorsement of the content or an acceptance of liability.

4. Pricing and payment

4.1 Advertising pricing is agreed in writing (email or through the staff portal) before placement.

4.2 Payment is due in advance of publication unless otherwise agreed.

4.3 Advertising fees are non-refundable once the advertisement has been published, unless SilinTrade has materially failed to deliver the agreed placement.

4.4 SilinTrade may adjust pricing for future advertising placements on 30 days' notice.

5. Duration and cancellation

5.1 Advertising placements run for the agreed period. Renewal is not automatic unless otherwise agreed.

5.2 Either party may cancel a future placement on 14 days' written notice. No refund is due for placements already published or in progress.

5.3 SilinTrade may remove an advertisement immediately if it receives a complaint, becomes aware of a legal issue, or determines that the advertisement breaches these Advertiser Terms.

6. Performance and reporting

6.1 SilinTrade will provide basic performance reporting (impressions and clicks, where available) for advertising placements.

6.2 SilinTrade does not guarantee any specific level of impressions, clicks, conversions, or other performance metrics unless expressly agreed in writing.

7. Intellectual property

7.1 You retain all intellectual property rights in your advertising content.

7.2 You grant SilinTrade a non-exclusive, royalty-free licence to display, reproduce, and distribute your advertising content on the Platform for the duration of the advertising placement.

7.3 This licence terminates when the advertising placement ends and the content is removed from the Platform.

8. Indemnity

8.1 You indemnify and hold harmless Silintithia (Pty) Ltd, its directors, employees, and agents against any claims, damages, losses, or expenses (including legal costs) arising from:

  • the content of your advertisements;
  • any breach of these Advertiser Terms;
  • any infringement of third-party rights arising from your advertising content;
  • any claim by a consumer or regulatory authority relating to your advertisement.

9. Limitation of liability

9.1 SilinTrade's total liability to the Advertiser for any claim arising from or in connection with advertising services shall not exceed the total advertising fees paid by the Advertiser in the 12 months preceding the claim.

9.2 SilinTrade shall not be liable for any indirect, consequential, special, or punitive damages.

10. Data and privacy

10.1 SilinTrade does not share Platform user personal information with Advertisers.

10.2 Any personal information collected through an Advertiser's campaign (e.g. click-through to the Advertiser's own website) is the responsibility of the Advertiser and must be handled in accordance with POPIA.

10.3 SilinTrade may provide Advertisers with aggregated, anonymised performance data that does not identify individual users.
